1. Acceptance of Terms
By accessing or using the services operated by Thorpe Land Services ("we," "our," or "us"), including but not limited to Ironwood Terminal platform, traditional land services (title curative, surface stewardship, geospatial intelligence), and notary services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our services.
2. Description of Services
2.1 Ironwood Terminal Platform
Ironwood Terminal is a software platform and tool designed to assist commissioned notary officers in the State of Texas and Oregon with:
- Compliance tools and reference materials
- Session management and documentation
- Directory listings and profile management
- Training resources and educational content
- Client tracking and communication tools
- Remote Online Notarization (RON) session management
Ironwood Terminal is a tool. It is not legal advice, and it does not replace your professional judgment or legal obligations as a commissioned notary officer.
2.2 Traditional Land Services
Thorpe Land Services also provides professional land services to clients, including:
- Title Curative & Forensics: Sovereignty-to-present title runs, heirship affidavits, probate analysis, and remote abstracting services
- Surface Stewardship & Damage Settlement: Surface Use Agreement (SUA) drafting, damage documentation, restoration compliance, and agricultural use protection
- Geospatial Intelligence & Analysis: Site constraints analysis, historical usage verification, easement mapping, and conceptual subdivision planning
- Notary & Execution Services: Mobile notary services, Remote Online Notarization (RON), and document recording services across all 254 Texas counties
These services are provided under separate service agreements or engagement letters that may contain additional terms specific to the scope of work. These Terms apply to the general use of our services and platforms, while specific service agreements govern the detailed terms of individual engagements.
3. Important Disclaimer
We are not responsible if you lose your notary commission while using this software.
Our services are provided "as is" and "as available" without warranties of any kind. You are solely responsible for:
- Compliance with all applicable Texas laws and regulations
- Maintaining your notary commission in good standing
- Proper execution of notarial acts
- Verification of signer identity and document authenticity
- Maintaining required records and journals
While we strive to provide accurate information and tools, statutes, regulations, and best practices may change. It is your responsibility to verify current requirements and consult with legal counsel when necessary.
4. User Responsibilities
As a user of our services, you agree to:
- Provide accurate and current information
- Maintain the security of your account credentials
- Comply with all applicable laws and regulations
- Use the service only for lawful purposes
- Not misuse or abuse the platform or its features
- Not attempt to circumvent security measures
- Not use the service to violate any third-party rights
5. Subscription and Payment
Certain features of Ironwood Terminal require a paid subscription. By subscribing, you agree to:
- Pay all fees associated with your subscription
- Automatic renewal unless cancelled
- Payment processing through Stripe (subject to Stripe's terms)
- No refunds for partial subscription periods (except as required by law)
We reserve the right to change subscription fees with 30 days' notice. Continued use after a fee change constitutes acceptance of the new pricing.
6. Intellectual Property
All content, features, and functionality of our services, including but not limited to Ironwood Terminal platform, website content, text, graphics, logos, software, and code, are owned by Thorpe Land Services or its licensors and are protected by copyright, trademark, and other intellectual property laws.
You may not copy, modify, distribute, sell, or lease any part of our services without our express written permission.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THORPE LAND SERVICES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of your notary commission or license
- Loss of income or business opportunities
- Legal fees or penalties
- Data loss or corruption
- Service interruptions or downtime
Our total liability for any claims arising from your use of the service shall not exceed the amount you paid us in the 12 months preceding the claim.
7A. Warranties and Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
We do not warrant that:
- The service will be uninterrupted, secure, or error-free
- Defects will be corrected
- The service is free of viruses or other harmful components
- The information provided is accurate, complete, or current
Any content downloaded or obtained through the service is done at your own risk.
8. Indemnification
You agree to indemnify, defend, and hold harmless Thorpe Land Services, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use of our services, including Ironwood Terminal and land services
- Your violation of these Terms
- Your violation of any law or regulation
- Your notarial acts or professional conduct
- Any content you submit or transmit through the service
9. Termination
We may suspend or terminate your access to our services at any time, with or without cause or notice, for any reason including:
- Violation of these Terms
- Non-payment of subscription fees
- Fraudulent or illegal activity
- At our sole discretion
You may cancel your subscription at any time through your account settings or by contacting us.
10. Dispute Resolution and Governing Law
10.1 Binding Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Service shall be settled by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association ("AAA"), except that either party may seek injunctive relief in any court of competent jurisdiction to prevent immediate harm.
Arbitration shall take place in Travis County, Texas, and shall be conducted by a single arbitrator selected in accordance with AAA rules. The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.
10.2 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to a jury trial.
10.3 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.
11. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the service after changes become effective constitutes acceptance of the modified Terms.
11A. Third-Party Services
Our Service relies on third-party services and platforms, including but not limited to:
- Stripe - Payment processing (subject to Stripe's Terms of Service and Privacy Policy)
- Supabase - Data storage and authentication (subject to Supabase's Terms of Service)
- OpenAI - AI/ML services for content processing (subject to OpenAI's Terms of Use)
- Resend - Email delivery services (subject to Resend's Terms of Service)
- Vercel - Hosting and infrastructure services (subject to Vercel's Terms of Service)
- BlueNotary - Remote Online Notarization (RON) platform services for video sessions, identity verification, and session recording (subject to BlueNotary's Terms of Service and Privacy Policy)
Your use of these third-party services is subject to their respective terms and policies. We are not responsible for the availability, accuracy, or practices of these third-party services. Any issues with third-party services must be resolved directly with the respective provider.
11B. User Content and Data
You retain ownership of all content and data you submit through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, store, process, and display your User Content solely for the purpose of providing and improving the Service.
You are solely responsible for your User Content and represent that you have all necessary rights to submit it. We reserve the right to remove any User Content that violates these Terms or applicable law.
